INVERSOR MINORISTA Y PLATAFORMAS DE FINANCIAMIENTO COLECTIVO CROWDFUNDING EN CHILE. RIESGOS, OPORTUNIDADES Y DESAFÍOS REGULATORIOS

El trabajo evalúa la eficacia del reciente marco regulatorio chileno de plataformas de financiamiento colectivo y la tutela del inversor minorista. Se cuestiona hasta qué punto las nuevas normas protegen al inversor no profesional frente a los riesgos del crowdfunding y cómo aprovechar la innovación sin comprometer la seguridad y el desarrollo del sistema. Para ello, adopta una metodología descriptivo-analítica y comparada; revisa la evolución de las tecnofinanzas, examina el crowdfunding en Chile y Latinoamérica, analiza la Ley 21.521 y la Norma de Carácter General n.º 502 con énfasis en la protección del inversor minorista, y contrasta el régimen chileno con el europeo y el latinoamericano. El estudio se organiza en cinco capítulos que culminan en propuestas de perfeccionamiento normativo. Entre las conclusiones destaca que, aunque el fenómeno fintech ha ampliado el acceso al capital para las MiPyME, la regulación latinoamericana sigue fragmentada; la legislación chilena mejora la transparencia, pero ofrece una tutela informacional insuficiente para afrontar insolvencia, incumplimiento o iliquidez. Se considera necesario introducir salvaguardias prudenciales, planes de continuidad, límites de exposición, mecanismos de salida y pruebas de idoneidad. También se señala que la incorporación de inteligencia artificial puede mejorar la evaluación de riesgos, aunque exige mayor transparencia y gobernanza, y que la originalidad radica en identificar vacíos y proponer ajustes inspirados en estándares europeos, visibilizando la vulnerabilidad del inversor minorista.Downloads
